You are granted a limited, non-exclusive, non-transferable license to use the service for its intended purpose.

You retain ownership of your data but grant PACE necessary rights to process and use such data as outlined in these terms and our Privacy Policy.

7. Service Availability and Performance

While we strive to maintain 99.9% uptime, PACE does not guarantee uninterrupted service availability. We reserve the right to suspend or terminate services for maintenance, security updates, or force majeure events. Scheduled maintenance will be communicated in advance when possible.

8. Limitation of Liability

To the maximum extent permitted by law, PACE shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, resulting from your use or inability to use the service. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless PACE, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the service, violation of these terms, or infringement of any third-party rights.

10. Termination

Either party may terminate this agreement at any time. Upon termination, your access to the service will cease, and we may delete your data in accordance with our data retention policies. Sections relating to intellectual property, limitation of liability, and indemnification shall survive termination.

11. Governing Law and Disputes

These terms are governed by the laws of the State of Delaware, United States. Disputes will be resolved in Delaware courts or through arbitration as applicable under Delaware law and the Federal Arbitration Act.

12. Changes to Terms

We reserve the right to modify or replace these terms at any time. Material changes will be communicated via email or platform notification at least 30 days before the effective date. Continued use of the service after changes constitutes acceptance of the new terms.
